Official Contest Rules, and Consent to Use Digital Image and Release Agreement

CONTEST RULES

How to Enter/Eligibility: To be considered for Inc.com's "Best Lemonade Stand in America Contest" Grand Prize, Second Prize or Third Prize, entries must be received between 12:01 AM (ET) June 26, 2007, and 11:59 PM (ET) Sept. 3, 2007.

Entries received between 12:01 AM (ET) June 26, 2007, and 11:59 PM (ET) Aug. 31, 2007, also will be considered for our "Lemonade Stand of the Week" portion of our contest.

Enter by visiting http://www.inc.com/lemonade (the "Web Site"), and completing and submitting the entry form, including the answers to a series of questions about entrants' childs' experiences in starting and running a lemonade stand. Parents and legal guardians of children between the ages of 5 and 12 may enter the contest. Entries must be submitted in the English language. Answers to each question must not exceed 100 words. Entrants must also submit a digital image of the lemonade stand. One entry per e-mail address/person. Only entries submitted electronically to the Web site in accordance with these rules will be eligible for consideration. Entries will be deemed to have been submitted by the authorized account holder of the e-mail address submitted at the time of the entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Contest is open to all legal residents of the United States, except employees of Mansueto Ventures LLC ("Mansueto") ("Sponsor"), its parent, subsidiary and affiliate companies, its advertising and promotional agencies, and the immediate families of the foregoing employees. Entries must be original to entrant and not be submitted to or published by any website or any publication. Each entry may be published in any medium by Mansueto or editorial-content partners of Mansueto without additional compensation to winner. Entries cannot be acknowledged and become the property of Mansueto upon receipt. Submission of entry constitutes permission for Mansueto to post entrants'submission on line, for Mansueto to use entrant's submitted information for purposes of marketing and promotion; provided, however, that the last names and street addresses of entrants will not be provided to third parties or published by Mansueto on Inc.com or elsewhere. Mansueto may use first names, city and state to promote the entries. Each winner will be required to sign an affidavit of eligibility/publicity, grant of rights and liability release to be returned within ten (10) days from the date it was sent, or another winner may be selected.

Selection of Winners: From all eligible entries received, the editorial staff of Inc.com and the readers of Inc.com, who will be able to view and comment on entries during the Contest period, will contribute to the selection of winners. Final decisions will be made by the Inc.com staff, whose decisions are final in all matters. The Grand Prize Winner will be chosen based upon criteria such as creativity in design of the lemonade stand, interesting story(ies) in the essay, and overall excellence in running the stand. Two (2) runners up will be chosen based upon "Best Lemonade Stand Design" (most aesthetically pleasing) and and "Coolest Story About a Lemonade Stand" (based on answers to all questions collectively).

General: Neither Mansueto Ventures LLC, its parent, subsidiary, or affiliate companies, nor its promotional agencies shall have any obligation or responsibility with regard to (i) entries that contain inaccurate information or that do not comply with these instructions; (ii) entries, prize claims, or notifications that are lost, late, incomplete, illegible, unintelligible, damaged, or otherwise not received by the intended recipient, in whole or in part, due to computer or technical error of any kind; (iii) telephone, electronic, hardware, software, network, Internet, or computer malfunctions, failures, or difficulties; or (iv) any damages or losses of any kind caused by any award or resulting from the acceptance of any award. Mansueto Ventures LLC, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Web site or otherwise disregarding these instructions. Mansueto Ventures LLC further reserves the right to cancel, terminate, or modify the "The Best Lemonade Stand in America Contest" if it cannot be completed as planned because of infection by computer virus, bugs, tampering, unauthorized intervention, or technical failures of any sort.

All materials submitted in connection with entries to Inc.com's "The Best Lemonade Stand in America Contest" become the property of Mansueto Ventures LLC upon receipt and cannot be returned. Winner is responsible for all federal, state and local taxes. Grand Prize Winner will be issued an IRS 1099 Income Tax Form in the amount of the ARV of any prize accepted over $600.

Contest is governed by the laws of the State of New York, with venue and jurisdiction in New York, NY and all claims must be resolved in the courts of New York, NY.

Winners' List: The names of "The Best Lemonade Stand in America Contest" winners will be available after September 30, 2007. Visit http://www.inc.com to see winning entrants or send a stamped, self-addressed envelope postmarked no later than October 15, 2007, and received no later than November 15, 2007, to: "The Best Lemonade Stand in America Contest" Winners' List, c/o Mansueto Ventures LLC, 7 World Trade Center, 29th Floor, New York, NY 10007.

PHOTO CONSENT TERMS

To enter the Best Lemonade Stand Contest in America Contest ("Contest"), entrants must provide a digital photo (scanned and sent digitally) (collectively, the "Digital Image") of their childs' lemonade stands and accept the following.

For good and valuable consideration, receipt of which is hereby acknowledged, I hereby grant Mansueto Ventures LLC and its publications and websites (collectively, "Mansueto") the right to use the Digital Image on the website located at www.inc.com (the "Web Site"), and the ongoing right to use or authorize the use of the Digital Image and my childs' name and likeness in the advertising and promotion of the Web Site and the Contest.

I acknowledge Mansueto's right to crop or treat the Digital Image at its discretion and also acknowledge Mansueto's right to choose to use or not use the Digital Image at any time. I understand that once the Digital Image is posted, it may downloaded by any computer user, and therefore agree as follows:

• I will not make any claims against Mansueto arising out of its use of the Digital Image, including, but not limited to, claims of defamation and copyright infringement.
• I agree to indemnify Mansueto and to hold harmless Mansueto from any claims that may be brought against Mansueto as a result of the use of the Digital Image by Mansueto and any other computer user.
• My heirs, executors, administrators and assigns shall be bound by this Consent and Release.

IF ENTRANT IS NOT OF LEGAL AGE: I represent that I am the parent/guardian of the child named in the entry form. I hereby consent to the foregoing on his/her behalf and waive all rights we may have in connection with the subject matter of this Consent and Release.
